Karen (Zhenkun) Liu, Head of Corporate and Fund Formation at Reid & Wise, authored an article published at American Bar Association entitled, “What Investment Advisers Can Learn from the 2024 Marketing Rule Risk Alert.” The article reviews a Risk Alert newly issued on April 17, 2024 by the SEC's Division of Examinations sharing the staff's initial observations from their real-life examinations of investment advisers' compliance with amended Rule 206(4)-1 under the Investment Advisers Act of 1940. The observations focus on advisers' compliance with Marketing Rule–related aspects of Advisers Act Rule 206(4), Advisers Act Rule 204-2, and the Marketing Rule's “General Prohibitions,” as well as accurate disclosure of their Marketing Rule compliance in Form ADV. Karen shed light on the itemized illustrations provided by the observation to investment advisers, which can help them understand how to better comply with the Advisers Act's antifraud rules in their day-to-day advertising practices.
