Yiqi Wang handles corporate affairs on behalf of U.S. and Chinese companies, primarily for U.S. start-ups and private and public companies in China. He advises clients on company formation, mergers and acquisitions, corporate finance, and general corporate matters. Yiqi worked in New York City, the Bay Area, and Shanghai. He has experience in corporate and financing transactions, including M&A transactions involving corporate structures and assets, as well as restructuring and spin-off transactions. Yiqi Wang also has over a decade of experience in the EB-5 investor immigration field. Leveraging his extensive experience and in-depth knowledge of immigration law, he has successfully assisted numerous Chinese investors in navigating the green card application process by crafting tailored financial source plans, mitigating potential risks, and strategizing entry into the United States. Yiqi Wang has also organized and coordinated the participation of hundreds of foreign trade enterprises and cross-border e-commerce companies in responding to multiple intellectual property infringement lawsuits in the United States. Yiqi Wang possesses unique insights into resolving cross-border intellectual property disputes and global intellectual property strategy development. Selected Transactions and Cases - Represented a number of U.S. biopharmaceutical companies in conducting due diligence on investment acquisitions. - Advised client on licensing matter for a joint development program between a U.S. pharmaceutical company and a Chinese pharmaceutical company. - Represented Chinese investors in financing biotech and high technology in the U.S. - Represented a number of start-ups in various financing rounds. - Represented a pre-IPO online healthcare platform in connection with the restructuring and spin-off of its Cayman entity. - Prepared and issued due diligence memorandum and legal opinion based on the due diligence of a number of U.S. entities in connection with such entities’ direct and indirect parent company’s IPO in the People’s Republic of China. - Represented strategic investors in their investments in, and target companies’ issuance and sales of, various rounds of convertible preferred stock, convertible notes, and warrants. |
