Yiqi Wang handles corporate affairs on behalf of US and Chinese companies, primarily for US start-ups and private and public companies in China. He advises clients on company formation, mergers and acquisitions, corporate finance, and general corporate matters. Yiqi worked in New York City, Bay Area and Shanghai. He has had experience in corporate and financing transactions, including M&A transactions involving corporate structures and assets and restructuring and spin-off transactions.

Selected Transactions and Cases

- Represented a number of US biopharmaceutical companies in conducting due diligence on investment acquisitions;
- Advised client on licensing matter for joint development program between a U.S. pharmaceutical company and a Chinese pharmaceutical company;
- Represented Chinese investors in financing biotech and high technology in the US;
- Represented a number of start-ups in various financing rounds;
- Represented a pre-IPO online healthcare platform in connection with the restructuring and spin-off of its Cayman entity;
- Prepared and issued due diligence memorandum and legal opinion based on the due diligence of a number of U.S. entities in connection with such entities’ direct and indirect parent company’s IPO in the People’s Republic of China;
- Represented strategic investors in their investments in (and target companies’ issuance and sales of) various rounds of convertible preferred stock, convertible notes, and warrants.
